THE CONSTITUTION OF
ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA (AARCHES)

ARTICLE I: PREAMBLE:

Whereas there are many teachers/lecturers of Architecture in Nigerian Institutions of higher learning, and whereas there is a need for these teachers/lecturers to come together to exchange ideas in the interest of the profession, and in order to encourage the growth of Architecture in the various institutions in the country, the lecturers of architecture in Nigeria herein resolve to form themselves into an organization to promote the wider interest of architecture.

ARTICLE II: NAME OF THE ASSOCIATION:
The name of the organization shall be ASSOCIATION OF

ARCHITECTURAL EDUCATORS IN NIGERIA hereby referred to as “AARCHES”.

ARTICLE III: DEFINITION AND SCOPE OF OPERATION:
AARCHES is an independent professional association affiliated with the Academic Staff Union of Nigerian Tertiary Institutions’ and working in close cooperation with the Nigerian Institute of Architects (NIA) and other allied professional bodies. Separate membership is open to teachers in architecture schools at all levels of architectural institutions, researchers, writers, creators and others interested in the advancement of architectural education in Nigeria. The association exists primarily to promote nation wide and international exchange of ideas, and experience in the architectural profession among teachers of architecture in Nigeria and beyond.

ARTICLE IV: AIMS AND OBJECTIVES:
The aims and objectives of the association shall be to promote and ensure:

  1. The teaching and appreciation of architecture in Nigeria in particular, and architecture in general.   
  2. Research and scholarship on Nigerian architecture in particular and Architecture in general.
  3. The publication of materials in architecture and architectural Education with particular emphasis on Nigeria.
  4. High standard of architectural Education in Nigeria.
  5. High professional and ethical standards among members of the association.
  6. Free expression of and open access to, and exchange of ideas on architecture and architectural education.
  7. Periodic meetings for the purpose of reporting and discussing developments in architecture, architectural education and other matters affecting the association.
  8. Liaison with other organizations such as ARCON, NIA, NUC, NBTE, ASUU, ASUP and other organizations and institutions concerned with the advancement of architectural education in the country in particular, and the world in general.

ARTICLE V: ORGANIZATIONAL STRUCTURE
The following levels shall exist in the association;

  1. General Assembly; as the highest body of the Association
  2. National Executive Council.
  3. Zonal Chapters in line with zonal structure, and headquarters as may be approved by the Council.
  4. Institutional; This shall comprise of all tertiary institutions offering architecture in Nigeria.

The governing body of AARCHES shall be its Executive Council consisting of;

  1. National Chairman,
  2. National Vice Chairman
  3. National Secretary,
  4. National Financial Secretary,
  5. National Treasurer,
  6. National Assistant Secretary,
  7. National Public Relations Officer,
  8. Editor-in Chief of AARCHES (Journal) J,
  9. And two ex-offico members, one of which shall be the immediate past National chairman, and another appointed by the current National Chairman.
  10. Zonal Co-ordinators: to be elected by each zone at the BGM, and ratified by the General Assembly.

The Executive Council shall be elected every two years in one of the Bienniel General Meetings, BGM, of the organization in the first instance, and may be elected for a second term.

ARTICLE VI: DUTIES OF THE OFFICERS
The following shall be the duties of the officers;

  1. The Chairman: Shall be the Chief Executive Officer of the Association. Shall call, develop agenda for, and chair meetings of the Executive Council and General meetings of the association. Shall in consultation with the executive committee appoint members to serve on standing and ad-hoc committees. Shall be the chief accounting officer of the Association. Shall be in custody of the seal of the Association.
  2. The National Vice Chairman: Shall assist the Chairman in the execution of his duties, and shall represent the Chairman on his request at all functions and in all capacities. In the event of the Chairman vacating office before the end of his tenure, the Vice Chairman shall serve until the next Annual General Meeting when a new Chairman shall be elected. Shall also carry out other functions as may be assigned by the General Assembly, the National Executive Council and the Chairman.
  3. The National Secretary: Shall prepare and distribute the agenda for each annual general meeting and Executive Council Meeting at least four weeks before the meeting in question. Shall record in writing, report, and preserve proceedings of meetings and other information pertaining to the general, and Executive Council Meetings. May also serve as secretary to any AARCHES committee. However in his absence the chairman of the committee may designate any member to act as secretary. Shall be responsible for Executive Council correspondence files. May also serve as Financial Secretary, in the absence of the Financial Secretary and the Treasurer.
  4. The Assistant National Secretary: Shall assist the National Secretary, serve as secretary in his absence, and do any other assignment as may be given to him from time to time.
  5. The Financial Secretary: Shall keep the membership roll, collect and keep records of all monies accruing to the association from time to time. Shall hand over all such monies to the treasurer on collection: Shall render a financial account to the Annual General Meetings, AGM.
  6. The Treasurer: Shall keep the account book and submit a financial report(s) at each Annual General Meeting and Executive Council Meeting. Shall disburse the Associations’ funds as directed by majority vote of the Exco and or provided from the budget and approved by the Chairman. Shall act as the financial adviser to the Executive Council.
  7. The Editor-in-Chief of AARCHES J: Shall be the Chairman of the Editorial Board of the Association’s journals. The editorial board shall compile, edit, produce and distribute the journals.
  8. The Ex-officio member: There shall be two(2) ex-officio members one of which shall be the immediate past National Chairman, while the other shall be appointed by the National Chairman. They shall perform any functions as assigned by the Chairman or the Executive Council. They shall be members of the Executive Council. Shall be present at all meetings. At the zonal executive council all current national officers shall be ex-officio members while at the chapter, all zonal officers from the chapter are ex-officio members.

ARTICLE VII: DISSOLUTION AND ELECTION OF THE NATIONAL EXECUTIVE:
1.       DISSOLUTION: The Assembly after the General Meeting conducted by the outgoing executive, shall move for the dissolution and have it dissolved. Thereafter a Presiding Officer and an assistant from outside the hosting zone are appointed by the Assembly to conduct the elections.
2.       ELECTION OF OFFICERS:
(a)     National Officers: The National Executive Council shall be elected every two years in one of the biennial general meetings, the BGM of the association.
(b)     Zonal Co-ordinators: Thereafter at the BGM each zone shall elect its Zonal Chapter Co-ordinator.
(c)      Institutional Chapter: Membership is open to all lecturers in the Department, and the Secretary of the Departmental Academic Board shall be the Chapter Chairman and Secretary respectively. The Chairman shall perform all functions assigned to him by the National Executive, ordinarily collect dues and levies when due and remit as may be assigned by the General Assembly, National Executive Council, and the Zonal Co-ordinator.

ARTICLE VIII: ELECTION PROCEDURE FOR THE COUNCIL:
Election into the council shall be by any or combination of the following;
1.       Consensus: In this case the hosting institution, and or the hosting zone presents a list of officers for ratification by the General Assembly.
2.       Nomination: In this case all the posts or those where consensus is not arrived at are presented to the Returning Officer for election through secret ballot.
Only financial members can vote or be voted for. Candidates nominated shall indicate their willingness to serve if elected. In the case of a tie, a run-off election shall be held. Vacant positions shall be filled by majority vote of the executive council until the next annual general meeting when a bye-election shall be held. Voting shall be by secret or open ballot on the floor of the house.

ARTICLE IX: ENLARGED NATIONAL EXECUTIVE COUNCIL:
This shall comprise of all the national officers, all the Heads of Departments of Architecture, all professors of architecture, all chief lecturers of architecture and all zonal co-ordinators.

FUNCTION: To deliberate on all matters presented to it by the National Executive Council.

ARTICLE X: BOARD OF TRUSTEES:
The trustees of the association shall comprise of five(5), members elected by the enlarged Executive Council including the serving National Chairman, and ratified by the general assembly. The trustees shall however, elect its Chairman and Secretary. Such trustees (hereinafter referred to as ‘THE TRUSTEES’) shall be known as the registered trustees of the Association of Architectural Educators in Nigeria, AARCHES.
A Board member ceases to occupy the position on the following grounds:

    1. If declared bankrupt by a court of competent jurisdiction.
    2. If involved in a conduct detrimental to the image of the association.
    3. If convicted by a competent court of law.
    4. Becomes insane or of unsound mind and or incapable of discharging the functions of the office.
    5. If recommended for removal by a member and supported by 2/3 majority of members present in a general meeting.

ARTICLE XI: TENURE OF THE BOARD OF TRUSTEES MEMBER: The tenure of the trustee member is five years, but may be re-elected for life.

ARTICLE XII: DUTIES OF THE BOARD OF TRUSTEES:
Shall have a general supervision of the affairs of the association. Shall have power for the acquisition, be in custody of headquarter offices, and other property and investment of the association.

Shall apply to the Corporate Affairs Commission for certificate of incorporation under the Companies and Allied Matters Act of 1990 Part C, shall meet when necessary to consider matters brought before it.

ARTICLE XIII: STANDING AND ADNOC COMMITTEES:

(a).    STANDING: The following shall be standing committees of he association;

  1. Membership Committee: to screen application for new members at all categories and recommend to the council for ratification and admission.

ARTICLE XV: BANK ACCOUNT:
The Association shall open and or maintain accounts in Banks approved by the Council on behalf of the association with account name, “AARCHES”.

Signatories to the account shall be;

  1. The Chairman,
  2. The National Secretary; and
  3. The National Treasurer. The account shall be operated by at least two signatories one of which must be the treasurer with the seal of the association:

ARTICLE XVI: COLLECTION OF DUES:
This shall normally be carried out through the institutional chapter and remitted to or paid into AARCHES bank account, and the teller forwarded to the National Financial Secretary.

ARTICLE XVII: FINANCIAL BOOKS;

The Association shall maintain the following financial books;

  1. Books of first entry,
  2. Cash books,
  3. Payment vouchers,
  4. Receipt booklets,
  5. Cheques and deposit books

All books of record and accounts remain the property of the association.

ARTICLE XVIII: REMOVAL OF OFFICERS;
Officers who are found delinquent by the recommendation of the Disciplinary Committee in their duties shall be removed only with a 2/3 majority of the Assembly.

ARTICLE XIX: THE SECRETARIAT
AARCHES shall have a permanent secretariat in the Federal Capital Abuja: The secretariat of the organization shall reside in the institution producing the national Chairman, to allow the smooth operation of the secretariat:

ARTICLE XX: MEMBERSHIP
Application for admission to membership shall be submitted to the National Secretary: Categories of membership shall be as follows:

  1. Fellow;-                                          FAE
  2. Full members;-                                MAARCHES
  3. Association members;-                     AAE
  4. Honorary members;-                         HAE
  5. Institutional members;-
    1. Fellow: Shall be members adjudged to have made significant contribution to the development of architectural education in Nigeria, and nominated by the National Exco and ratified by the General Assembly.
    2. Full membership: is open to teachers in schools of architecture in the country. Association membership is open to researchers, professionals in practice, writers, and others in allied professions.
    3. Honorary membership: May be conferred on those nominated by exco, on approval by the house.
    4. Institutional: Shall include institutions engaged in teaching or research in architecture; or in the propagation of the profession.

ARTICLE XXI: DUES:
Dues for categories of membership shall be payable on or before the 1st of October each year according to the following schedule:

  1. Fellow: N5,000:00
  2. Full members reviewed: N3000.00
  3. Associate members: by N1,000.00.
  4. Honorary members: by donations.

Adjustments in dues shall be proposed from time to time by the executive council at the annual general meeting and shall be subject to ratification by a majority vote of those in attendance.

ARTICLE XXI:  AMENDMENT OF CONSTITUTION AND APPENDICES:
Proposed changes in the articles of the constitution shall be submitted to the secretariat at least 8 weeks before the annual general meeting for distribution to members. If proposed at the general meeting, it shall be supported by at least five other members to qualify for a discussion. Such changes, that is, alterations, amendments, or new bye-laws must be approved by 2/3 majority vote of members in attendance at any annual general meeting subject to approval by the Corporate Affairs Commission. Approved amendment shall form appendices to be included at constitution review.

ARTICLE XXIII:  ESTABLISHMENT AND DISSOLUTIONS
AARCHES shall be considered established when this constitution has been ratified by a majority of those joining the association by attending inaugural meeting on February 27; 1987 at Ahmadu Bello University, Zaira. The Executive Council shall be considered dissolved if no annual general meeting or Executive Council meeting has attained a quorum over a period of two years. In the event of a dissolution of the exco, any interested full member(s) shall cause a meeting to take place by obtaining 20% of signatories of members. In the event that a meeting cannot be held for lack of a quorum for a further period of two years, the association is deemed dissolved: all assets remaining after certification of liabilities shall be donated to ASUU.

ARTICLE XXIV: CUSTODY OF THE SEAL OF THE ASSOCIATION:
The association shall have a metal seal to be in the custody of the National Chairman.

ARTICLES XXV: REVIEW OF THE CONSTITUTION: This constitution shall be reviewed every three years by a three man committee as deemed fit by the council. The reviewed constitution shall be approved by the enlarged executive, and ratified and adopted by the general assembly.

ARTICLE XXVI: INTERPRETATION OF THE CONSTITUTION: In case of any conflict between any section of this constitution, and or misunderstanding of the spirit of the constitution or its interpretation, the decision or interpretation of General Assembly by a simple majority vote shall be final. However, any part of this constitution in conflict with the constitution of Federal Republic of Nigeria; shall be null to the extent of the conflict.

ARTICLE XXIII: AUDIT

  1. The account shall be audited by an Auditor or Auditor appointed by the General House, from time to time. The Auditor shall scrutinize the account of the ASSOCIATION when it is required. The ASSOCIATION may open and operate any type of account in any Bank of their choice.
  2. All reports by the Treasurer and Financial Secretary of the ASSOCIATION for the General Meeting must include Auditor’s report on the Management of ASSOCIATION for the ASSOCIATION for the relevant period.

ARTICLE XXV:  SPECIAL CLAUSE
THE INCOME AND PROPERTY OF ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA when so ever derived shall be applied solely towards the promotion of the ASSOCIATION as set forth in the rules and Regulations/Constitution and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus, or otherwise, however by way of profit, to the members of ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA.

  1. PROVIDED that nothing herein shall prevent the payment, in good faith, or reasonable and proper remuneration to an officer or servant of the ASSOCIATION in return for any service actually rendered to ARCHITECTURAL EDUCATORS IN NIGERIA or any office of ASSOCIATION OF ARCHITECTURLA EDUCATORS IN NIGERIA paid for by fees, and that no remuneration or other benefits in money or monies shall be given by the ASSOCIATION to any member of such Council or Governing Body except repayment of out of-pocket expenses or reasonable and proper rent for premises demised or let to ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA. Provided that the provision last aforesaid shall not apply to any payment of any company to a member of the ASSOCIATION may be a company in which such member shall not hold more than one-hundredth part of the capital and such members shall not be bound to account for any share of profits he may receive in respect of any such payment.
  2. NO ADDITION, alteration or amendment shall be made to or in the RULES AND REGULATIONS/CONSTITUTION for the time being unless the same has been previously submitted to and approved by the Registrar-General.

IN the event of a winding up or dissolution of ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA there remains after the certification of all the debts and liabilities, any property whatsoever, the same shall not be paid to and distributed among the members of ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA but shall be given or transferred to some other institution(s) having objects similar to that of ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA and the body or bodies are prohibited from distributing its or their income and property amongst its or their members to an extent at least as great as is imposed on ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA under or by virtue of the SPECIAL CLAUSE hereof, such institution(s) to be determined by the members of the ASSOCIATION OF ARCHITECTURAL EDUCATORS IN NIGERIA at or before the time of dissolution and if in so far effect cannot be given to the aforesaid provision, then to some charitable object.
